Terms & Conditions
Effective Date: 1 February 2026
Definitions:
The Impactful Quill, located in Monnickendam, the Netherlands, KvK-number: 99601753, is referred to as the ‘Supplier’ in these Terms & Conditions
The other party is referred to as the ‘Client’ in these general terms and conditions.
The commission is the work agreed upon between the Client and the Supplier.
Article 1: Applicability
1.1 These general terms and conditions apply to all quotations, agreements and other legal relationships between the Supplier and the Client.
1.2 Deviations from these terms and conditions are only valid if agreed in writing between the Supplier and the Client.
Article 2: Quotations and agreements
2.1 The prices stated in a quotation are exclusive of VAT and other government levies, any costs to be incurred in connection with the agreement, including travel and accommodation, shipping and administration costs, unless otherwise indicated.
2.2 Quotations from the Supplier are free of obligation, unless otherwise indicated.
2.3 Quotations are valid for the period specified in the quotation. If no period is specified, the quotation is valid for 30 days.
2.4 Upon agreement of the terms and scope of the work, the Supplier will supply the Client with a contract to finalise the agreement.
Article 3: The scope of the work
3.1 The Client commissions the Supplier, and the Supplier accepts the Client's commission, to perform the agreed upon work (the ‘Commission’.
3.2 The Supplier is free to organise and execute the Commission at her own discretion.
3.3 The Supplier shall commence the Commission on or around an agreed upon date and the end date is set as well.
Article 4: Compensation
4.1 The rates (Fee) for the Supplier’s services are as stated in the quotation or other written agreements, including e-mail.
4.2 Costs incurred by the Supplier in performing the contract but not included in this agreement are not eligible for reimbursement, unless the Client has approved them in writing in advance.
4.3 The Supplier will send an invoice to the Client for the work performed. The invoice will comply with the legal requirements.
4.4 The Client shall pay the Supplier's invoice within 30 days of receipt of the invoice.
4.5 In the event of late payment, the client shall be in default and the contractor shall be entitled to charge statutory interest and collection costs.
Article 5: Delivery
5.1 We will agree the format for the final deliverable(s) to be in either Microsoft Word document, Google doc, plain text, or pdf.
Article 6: Intellectual property
6.1 Ownership of the work created under the Commission rests with the Client.
6.2 The Client shall obtain an exclusive right of use after full payment of the Fee and the costs incurred.
Article 7: Liability & Indemnification
7.1 The Supplier is not responsible for any legal or financial consequences arising from the Client’s use of the content. The Client assumes full responsibility for fact-checking and compliance with laws and regulations.
Article 8: Cancellation & Termination
8.1 Each Party shall be entitled to terminate this agreement with immediate effect if:
a. the other Party fails to comply with (one of) the provisions of this agreement and, in the event of a remediable breach, this Party fails to remedy the breach within 20 (twenty) days of receiving a written request from the other Party;
b. a Party is granted a moratorium on payments or a Party is declared bankrupt; and/or
c. a Party is transferred, transfers its rights and obligations under this agreement, or ceases its activities.
Article 9: Jurisdiction
9.1. This agreement is governed by Dutch law.
9.2. All disputes arising from or related to this agreement shall in the first instance be settled exclusively by the court in Amsterdam, the Netherlands.
Article 10: Final provisions
10.1 If any provision of these general terms and conditions is void or voidable, the remaining provisions shall remain in full force and effect.
10.2 The Supplier reserves the right to amend these general terms and conditions. The amended terms and conditions shall apply to new agreements.
